Disputes

Membership and governance disputes

Lesleigh has recently assisted a number of organisations with a membership/board dispute. Most of these disputes arise because of a relationship breakdown and might be avoided if the issue is identified and addressed before the issues become embedded and irretrievable. Once entrenched these disputes can be very difficult to resolve.

Issues with which Lesleigh can assist you

  • Members – who are they? What do they value from their membership? How is the board acknowledging them and valuing them?
  • What are the options for the members to hold the board to account?
  • What are some possible consequences of a dispute?
  • Are there impediments in the Constitution to solving disputes?
  • Are there other agencies which might assist to resolve a dispute?
  • Do we have to end up in court?
  • What is the right of the board to remove another a member?
  • What ability do the members have to remove a director or the whole board?
  • A review of governance documents relating to issues of control and decision making and disputes including constitution/rules and dispute resolution policy and processes
