Disclosure of material personal interest to members at general meeting

Management committee members of incorporated associations in Queensland are required to disclose a material personal interest in a matter being considered at a management committee meeting, to:

  1. the management committee as soon as they become aware of the interest and;
  2. members at the next general meeting of the association. 

If a committee member has a personal interest in a matter being considered at a management committee meeting, the member will not be able to be present at the meeting or vote on the matter unless permitted to do so by the rest of the management committee.

Management committee members can be fined for a breach of the relevant provisions.

An association should now have an appropriate conflict of interest policy to help directors and executives effectively identify, disclose and manage any actual, potential or perceived conflicts of interest in order to protect the integrity of the association and manage risk.
